Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Remembird, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes through the app or via email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

Remembird is a legacy preservation application that allows you to:

• Record and preserve personal stories and memories through voice recordings
• Build a digital AI persona based on your stories and experiences
• Create a voice clone for personalized audio responses (with your consent)
• Interact with your AI persona through conversational queries
• Analyze photos to generate memory prompts
• Share your legacy with designated contacts

3. Subscription and Payment

3.1 Subscription Plans

Remembird offers subscription-based access to premium features including:

• Unlimited story recordings and transcriptions
• Full AI persona building and interaction
• Voice cloning and personalized audio responses
• Photo memory analysis and smart prompts
• Priority support and new feature access

3.2 Billing

• Subscription automatically renews unless cancelled at least 24 hours before the end of the current billing period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel your subscription in your Apple ID Account Settings
• No refunds will be provided for partial subscription periods

3.3 Free Trial

If a free trial is offered:

• The free trial period is specified at the time of subscription
• If you do not cancel before the trial ends, you will be automatically charged
• Any unused portion of the free trial is forfeited when you purchase a subscription

3.4 Price Changes

We reserve the right to change subscription prices. Price changes will be communicated in advance and will take effect at the start of your next billing cycle.

4. Account Registration and Security

4.1 Account Creation

• You must be at least 13 years of age to use Remembird
• You must provide accurate information when creating your account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account

4.2 Apple Sign In

Remembird uses Apple Sign In for authentication. Your use of Apple Sign In is subject to Apple's terms and conditions.

5. User Content and Rights

5.1 Your Content

"User Content" includes all voice recordings, stories, photos, text, and other materials you submit to Remembird. You retain all ownership rights to your User Content.

5.2 License Grant

By using Remembird, you grant us a limited, non-exclusive, royalty-free license to:

• Store, process, and display your User Content to provide the Service
• Transcribe and analyze your recordings using AI services
• Build and maintain your AI persona based on your stories
• Create a voice clone using your audio (only with your explicit consent)
• Generate responses and content based on your AI persona

This license exists solely to operate and improve the Service and terminates when you delete your content or account.

5.3 Content Restrictions

You agree not to submit User Content that:

• Infringes on intellectual property rights of others
• Contains illegal, harmful, or abusive material
• Includes sensitive personal information of others without consent
• Violates any applicable laws or regulations
• Contains malware, viruses, or harmful code

6. AI Features and Voice Cloning

6.1 AI-Generated Content

• AI responses are generated based on patterns in your stories
• We do not guarantee the accuracy of AI-generated content
• AI features require an active subscription to access

6.2 Voice Cloning Consent

Voice cloning is an optional feature that requires explicit consent:

• You must opt in to voice cloning during onboarding or in settings
• Your voice will only be used to generate audio for your own account
• You can revoke consent and delete your voice model at any time
• We will not use your voice clone for any purpose other than the Service
• Your voice will not be shared with third parties except as necessary to provide the voice cloning service

6.3 Third-Party AI Services

We use third-party AI services (OpenAI, ElevenLabs) to power our features. Your use of these features is subject to the respective terms and privacy policies of these providers.

7. Intellectual Property

7.1 Our Property

Remembird, including its design, features, code, and branding, is our proprietary property protected by intellectual property laws. You may not:

• Copy, modify, or distribute the Service
• Reverse engineer or attempt to extract source code
• Use our trademarks without permission
• Create derivative works based on the Service

7.2 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

8. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems or bots to access the Service
• Impersonate another person or entity
• Use the Service to harass, abuse, or harm others
• Share your account credentials with others
• Circumvent any access restrictions or usage limits

9. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• The quality of any AI-generated content will meet your expectations
• Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim
• We are not liable for any loss or corruption of User Content
• We are not responsible for decisions made based on AI-generated content

11. Indemnification

You agree to indemnify, defend, and hold harmless Remembird, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of third parties

12. Termination

12.1 By You

You may terminate your account at any time by:

• Cancelling your subscription through Apple ID Account Settings
• Requesting account deletion through the app settings

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your subscription payment fails
• We reasonably believe your conduct may harm us, other users, or third parties
• Required by law

12.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Content
• Provisions that should survive termination will remain in effect

13. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us first to attempt to resolve the issue informally.

14.2 Arbitration Agreement

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class action lawsuits.

14.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Remembird regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
